Non-Disclosure Agreement (NDA)

This Agreement is entered into as of the , by and between:

(“Disclosing Party”)

and

(“Receiving Party”).

1. Confidential Information

For purposes of this Agreement, "Confidential Information" means any information, technical data, trade secrets, or know-how disclosed by the Disclosing Party to the Receiving Party, whether orally, in writing, or by any other means, including but not limited to:

Business strategies and plans
Financial data and projections
Software, algorithms, and intellectual property
Client lists and contracts
Marketing strategies and sales information

2. Obligations of the Receiving Party

The Receiving Party agrees to:

Maintain the confidentiality of all disclosed information and protect it using at least the same degree of care as it uses to protect its own confidential information.
Not disclose the Confidential Information to any third party without prior written consent of the Disclosing Party.
Use the Confidential Information solely for the purpose of evaluating or engaging in discussions related to potential collaboration or services with the Disclosing Party.
Immediately notify the Disclosing Party of any unauthorized disclosure or use of Confidential Information.

3. Exclusions from Confidential Information

Confidential Information does not include information that:

a. Is or becomes publicly known through no wrongful act of the Receiving Party.

b. Is received from a third party without restriction and without a breach of this Agreement.

c. Is independently developed by the Receiving Party without the use of or reference to the Disclosing Party's Confidential Information.

4. Term

This Agreement remains in effect for 3 years from the date of execution unless terminated earlier in writing by the Disclosing Party. The Receiving Party's obligations regarding confidentiality and use of the Confidential Information will survive the termination of this Agreement.

5. Return or Destruction of Confidential Information

Upon the request of the Disclosing Party, the Receiving Party must return or destroy all copies of the Confidential Information and confirm such destruction in writing.

6. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of Florida.

7. Remedies

The Receiving Party acknowledges that the disclosure or misuse of Confidential Information could result in irreparable harm to the Disclosing Party. Therefore, the Disclosing Party will have the right to seek injunctive relief in addition to any other legal or equitable remedies.

8. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding its subject matter and supersedes all prior agreements and understandings, whether written or oral.

9. Miscellaneous

This Agreement may not be amended except in writing signed by both parties.
Any provision found invalid or unenforceable will not affect the remaining provisions.
